Division: Legal & Corporate Affairs LCA WSG’s Commercial Licensing Group is looking for an experienced transactional lawyer with a strong desire to apply his/her skills to the rapidly evolving world of software-plus-services.
In this exciting new role, your primary responsibilities will be to:

• negotiate and close large scale software-plus-services transactions around the world in collaboration with LCA colleagues from WSG, Server & Tools, Worldwide Licensing & Pricing and Corporate & Regulatory Affairs;
  
• serve as a bridge between Redmond business group attorneys and global WSG field attorneys on complex software-plus-services transaction issues, including risk management issues and challenges arising in customer negotiations;
• develop and refine software-plus-services transaction templates, support materials and processes, including empowerment guides, clause banks and escalation/engagement models;
• advise Worldwide Enterprise and Partner Group (EPG) and Small and Mid-Market Solutions & Partners (SMS&P) leadership teams on a wide range of complex legal and business issues, including risks and challenges posed by new software-plus-services licensing and business models;
  
• serve as a trusted advisor and strategic thought leader across EPG, SMS&P and LCA.

Candidates should have the following qualifications:

• J.D. or equivalent degree and excellent academic credentials.
  
• A minimum of seven (7) years experience as a transactional attorney with top law firm and/or in-house experience - or equivalent experience.
  
• Substantial expertise drafting and negotiating complex IP and technology transactions.
  
• A record of effective cross-group collaboration (including the ability to influence without formal authority), complex project management and strong business acumen will be significant pluses.
