Corporate and Securities Attorney

My client is seeking a highly motivated Corporate and Securities Attorney to join its Legal Department at its world headquarters in Northeast, Ohio.

Responsibilities:

• Perform general contract review and assist with general corporate transactional matters.
  
  
  
  • Provide legal counsel and advice regarding general corporate and securities matters, including SEC, NYSE, and Sarbanes-Oxley compliance;
  
  
  
  


• Assist with the preparation of SEC and NYSE filings, compliance with SEC and NYSE requirements, responding to shareholder proposals and other shareholder communications, and responding to regulatory or other inquiries on corporate governance matters;


• Understand and analyze complex legal and business issues within the context of a public company practice and advise the Company’s officers, directors, and employees regarding such issues; and


• Assist with updates to securities law training materials and providing periodic securities law training to corporate employees.

Qualifications:

• 5-7 years of corporate and securities law experience, including a broad range of corporate transactions;


• Well developed attention to detail and excellent communication skills;


• Possess the ability to work within a business team with limited outside supervision and must be a self-starter with a keen business sense;


• Exceptional computer skills and ability to manage significant workload with critical deadlines; and


• Juris Doctorate degree from an accredited law school with strong academic credentials and license to practice law in the State of Ohio or the eligibility for prompt licensure after hiring.

            Base salary will be competitive, with opportunity to participate in the Company’s Management Incentive Plan and Restricted Stock programs after completion of the first year of service.
